Description

We are seeking an experienced Legal Analyst to support a growing U.S.-based law firm specializing in commercial transactions and corporate legal matters. This 100% remote position will work directly with attorneys to draft, review, and negotiate a wide variety of legal agreements while assisting with corporate governance, due diligence, legal research, and select mergers and acquisitions (M&A) matters.

The ideal candidate is highly organized, fluent in English (written and spoken), experienced supporting U.S.-based attorneys or businesses, and comfortable managing multiple legal projects simultaneously with minimal supervision.

Draft, review, edit, and redline commercial agreements, including Master Service Agreements (MSAs), Non-Disclosure Agreements (NDAs), Statements of Work (SOWs), service agreements, purchase agreements, and amendments.Prepare first drafts of legal documents using attorney guidance and firm templates.Conduct legal research related to commercial, corporate, contract, and business law matters.Assist attorneys with corporate governance matters, entity formations, annual filings, and corporate record maintenance.Support mergers and acquisitions activities, including due diligence, document organization, disclosure schedules, and transaction closing checklists.Review contracts for legal, commercial, and business risks and summarize key issues for attorney review.Coordinate contract execution, signature collection, and final document management.Maintain organized electronic legal files and document management systems.Track transaction timelines, deadlines, and attorney action items across multiple client matters.Assist with client correspondence and preparation of legal deliverables.Support process improvements and standardization of legal templates and document workflows.

Requisitos

Education & Licensure: Law Degree (LL.B., J.D., or regional equivalent) from an accredited law school. Active bar admission/license to practice law from Brazil, or a relevant international jurisdiction is strictly required.Experience: 5–10 years of post-qualification experience (PQE) practicing corporate law, either within a reputable law firm or as in-house counsel.M&A Expertise: Proven track record of actively working on M&A transactions and drafting/negotiating complex purchase agreements.Language: Native or bilingual fluency in English (written and spoken) is mandatory, with the ability to draft complex legal documents in English.U.S. Context: Deep experience supporting U.S.-based companies, cross-border transactions, or working under common law principles.Negotiation Skills: Strong commercial acumen with a proven ability to redline contracts effectively and negotiate directly with opposing counsel.

Technical Requirements

Document Management: Advanced proficiency in Microsoft Word (specifically tracking changes and document comparison), Excel, and Google Workspace.Legal Tech: Experience utilizing Contract Lifecycle Management (CLM) platforms (e.g., Ironclad, DocuSign, ContractWorks) and digital signature workflows.Collaboration: Comfortable operating in agile, remote environments using tools like Teams, Slack, and Zoom.Innovation: Experience leveraging AI tools (e.g., ChatGPT, specialized legal AI) to drive legal operations efficiency and streamline workflows.
